PLEASE READ THESE TERMS CAREFULLY BEFORE PURCHASING OR USING ANY BLACK HAWTHORN VENTURES SOFTWARE PRODUCT.
By accessing our website or purchasing our products, you agree to be bound by these Terms and Conditions. If you do not agree, do not use our website or products.
THE COMPANY
Black Hawthorn Ventures LLC is a limited liability company
organized under the laws of the State of California, located
in San Diego, California ("BHV," "we," "us," or "our").
PRODUCTS
BHV develops and sells the following downloadable software products
for Windows:
Black Hawthorn IT Suite (cybersecurity toolkit)
Black Hawthorn DojoBase (dojo and training facility management)
Math Crusher (educational math application)
Black Hawthorn WealthBase (personal finance and family records)
The4WheelShop (auto repair shop management, sold as a yearly subscription)
Additional products may be added in the future.
LICENSE GRANT
Upon completing a valid purchase, BHV grants you a limited, non-exclusive, non-transferable, revocable license to:
Download and install the purchased software on devices you
personally own or controlUse the software for its intended personal or business purpose
This license is tied to the email address used at purchase and the license key delivered to that email.
LICENSE RESTRICTIONS
You may NOT:
Copy, distribute, or resell the software to any third party
Share your license key with others not authorized by this license
Reverse engineer, decompile, or disassemble the software
Modify, adapt, or create derivative works based on the software
Remove or alter any copyright or proprietary notices
Use the software for unlawful purposes
Use Black Hawthorn IT Suite to scan, probe, or attack networks or systems you do not own or have explicit written permission to test
Violation of these restrictions will result in immediate termination of your license without refund.
LICENSE KEYS AND ACTIVATION
Your license key will be delivered to the email address provided at checkout. This key is tied to your purchase and email address.
Keep your license key confidential
Do not share, sell, or transfer your license key
BHV reserves the right to deactivate license keys that have
been shared or used fraudulentlyLost license keys can be recovered by contacting us with your
original purchase email
PAYMENT AND PRICING
Our products are sold through Polar (polar.sh), which acts as our reseller and merchant of record. Polar processes your payment and
calculates and collects any applicable sales tax.
Prices are listed in US Dollars (USD).
Payment is due in full at the time of purchase
We accept major credit and debit cards
All transactions are also subject to Polar's terms of service
REFUND POLICY
Our products are digital and are delivered immediately, so all sales are final and we do not offer refunds. Please review the
product page and system requirements before you buy, and contact us with any questions first.
If you have a technical problem, email info@blackhawthornventures.com and we will work with you to resolve it.
Our reseller, Polar, may in limited cases issue a refund at its own discretion (for example, to prevent a payment dispute). If a purchase is refunded or disputed, its license key is deactivated.
Nothing in these terms limits any rights you have under applicable consumer protection law.
SUBSCRIPTIONS, FREE TRIALS, AND CANCELLATION
Some BHV products, including The4WheelShop, are sold as yearly subscriptions (“Subscription”).
Automatic renewal. Your Subscription renews automatically every year at the price shown at checkout, plus any applicable tax, and your payment method on file is charged on each renewal date until you cancel. The price, renewal terms, and how to cancel are shown at checkout before you buy, and you agree to them by completing checkout.
Free trials. If your purchase includes a free trial (for example, 30 days), you will not be charged during the trial. Unless you cancel before the trial ends, your Subscription converts to a paid yearly Subscription and your payment method is charged the yearly price when the trial ends.
How to cancel. You can cancel online at any time through the Polar customer portal link in your purchase emails, without calling or writing to us. You can also email info@blackhawthornventures.com and we will cancel for you. Cancellation takes effect at the end of your current trial or paid term. You keep access until then and you will not be charged again.
Renewal charges. Consistent with our Refund Policy, renewal charges are not refunded, so please cancel before your renewal date if you do not want to continue. Nothing in these terms limits any rights you have under applicable law.
After your Subscription ends. Your data is not deleted. The software switches to read-only: you can still view and export your data, but you cannot add new work until you renew.
Reminders and price changes. We will email you a reminder at least once a year before your renewal with the price, the renewal date, and how to cancel. If the price of your Subscription changes, we will email you at least 7 and no more than 30 days before the new price takes effect, with instructions to cancel.
Records. We and our reseller, Polar, keep records of your consent to these terms for as long as the law requires.

Purchased versions include any minor updates (bug fixes,
patches) released within 12 months of your purchase dateMajor version upgrades may be offered at a discounted upgrade

TECHNICAL REQUIREMENTS
Our software products currently require:
Windows 10 or later (64-bit recommended)
Internet connection for license activation
Additional system requirements are listed on each product page
BHV is not responsible for compatibility issues arising from hardware or software configurations not meeting these requirements.
. CYBERSECURITY PRODUCT — SPECIAL TERMS (Black Hawthorn IT Suite)
By purchasing and using Black Hawthorn IT Suite, you agree that:
You will only use these tools on networks, systems, and devices that you own or have explicit written permission to test
You will comply with all applicable federal, state, and local laws, including the Computer Fraud and Abuse Act (CFAA)
BHV is not responsible for any damages, legal liability, or consequences resulting from unauthorized or improper use of these tools
These tools are intended for legitimate security testing, network administration, and educational purposes only
DISCLAIMER OF WARRANTIES
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BHV DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF SECURITY VULNERABILITIES.
. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BHV SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OUR PRODUCTS OR WEBSITE, EVEN IF BHV HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT IN QUESTION.
. INTELLECTUAL PROPERTY
All software, content, logos, trademarks, and materials on our website and within our products are the exclusive property of Black Hawthorn Ventures LLC and are protected by US and international intellectual property laws. "Black Hawthorn Ventures," "Math Crusher," "Black Hawthorn IT Suite, and "DojoBase" are trademarks of Black Hawthorn Ventures LLC.
Unauthorized use is prohibited.
. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any dispute arising from these Terms or your use of our products shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in San Diego, California under the rules of the American Arbitration Association.
You waive any right to a jury trial or to participate in a class action lawsuit related to BHV products or services.
. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Black Hawthorn Ventures LLC, its members, officers, and agents from any claims, damages, losses, or expenses (including attorney fees) arising from your use of our products, violation of these Terms, or infringement of any third-party rights.
. CHANGES TO THESE TERMS
We reserve the right to update these Terms at any time. Changes will be posted on our website with a new effective date. Continued use of our products after changes constitutes acceptance.
. SEVERABILITY
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
. ENTIRE AGREEMENT
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and BHV regarding our products and services.
