PLEASE READ THESE TERMS CAREFULLY BEFORE PURCHASING OR USING ANY BLACK HAWTHORN VENTURES SOFTWARE PRODUCT.


By accessing our website or purchasing our products, you agree to be bound by these Terms and Conditions. If you do not agree, do not use our website or products.


  1. THE COMPANY


Black Hawthorn Ventures LLC is a limited liability company
organized under the laws of the State of California, located
in San Diego, California ("BHV," "we," "us," or "our").


  1. PRODUCTS


BHV develops and sells the following downloadable software products
for Windows:

  • Black Hawthorn IT Suite (cybersecurity toolkit)

  • Black Hawthorn DojoBase (dojo and training facility management)

  • Math Crusher (educational math application)


Additional products may be added in the future.


  1. LICENSE GRANT


Upon completing a valid purchase, BHV grants you a limited, non-exclusive, non-transferable, revocable license to:


  • Download and install the purchased software on devices you
    personally own or control

  • Use the software for its intended personal or business purpose


This license is tied to the email address used at purchase and the license key delivered to that email.


  1. LICENSE RESTRICTIONS


You may NOT:

  • Copy, distribute, or resell the software to any third party

  • Share your license key with others not authorized by this license

  • Reverse engineer, decompile, or disassemble the software

  • Modify, adapt, or create derivative works based on the software

  • Remove or alter any copyright or proprietary notices

  • Use the software for unlawful purposes

  • Use Black Hawthorn IT Suite to scan, probe, or attack networks or systems you do not own or have explicit written permission to test


Violation of these restrictions will result in immediate termination of your license without refund.


  1. LICENSE KEYS AND ACTIVATION


Your license key will be delivered to the email address provided at checkout. This key is tied to your purchase and email address.


  • Keep your license key confidential

  • Do not share, sell, or transfer your license key

  • BHV reserves the right to deactivate license keys that have
    been shared or used fraudulently

  • Lost license keys can be recovered by contacting us with your
    original purchase email


  1. PAYMENT AND PRICING


All purchases are processed securely through Lemon Squeezy.


Prices are listed in US Dollars (USD).


  • Payment is due in full at the time of purchase

  • We accept major credit and debit cards

  • All transactions are subject to Lemon Squeezy's terms of service


  1. REFUND POLICY


Due to the digital nature of our products:


  • All sales are final once a license key has been delivered
    and the download link has been accessed

  • If you have not yet downloaded or accessed the product, you
    may request a refund within 48 hours of purchase by emailing
    contact@blackhawthornventures.com with your order number

  • Refunds are issued at our sole discretion

  • We will work with you to resolve technical issues before
    processing a refund request


To request a refund, email info@blackhawthornventures.com with your order number and reason for the request.


  1. PRODUCT UPDATES


  • Purchased versions include any minor updates (bug fixes,
    patches) released within 12 months of your purchase date

  • Major version upgrades may be offered at a discounted upgrade
    price to existing customers

  • BHV reserves the right to discontinue or modify any product
    at any time


  1. TECHNICAL REQUIREMENTS


Our software products currently require:


  • Windows 10 or later (64-bit recommended)

  • Internet connection for license activation

  • Additional system requirements are listed on each product page


BHV is not responsible for compatibility issues arising from hardware or software configurations not meeting these requirements.


  1. . CYBERSECURITY PRODUCT — SPECIAL TERMS (Black Hawthorn IT Suite)


By purchasing and using Black Hawthorn IT Suite, you agree that:


  • You will only use these tools on networks, systems, and devices that you own or have explicit written permission to test

  • You will comply with all applicable federal, state, and local laws, including the Computer Fraud and Abuse Act (CFAA)

  • BHV is not responsible for any damages, legal liability, or consequences resulting from unauthorized or improper use of these tools

  • These tools are intended for legitimate security testing, network administration, and educational purposes only


    DISCLAIMER OF WARRANTIES


THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BHV DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF SECURITY VULNERABILITIES.


  1. . LIMITATION OF LIABILITY


TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BHV SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OUR PRODUCTS OR WEBSITE, EVEN IF BHV HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT IN QUESTION.


  1. . INTELLECTUAL PROPERTY


All software, content, logos, trademarks, and materials on our website and within our products are the exclusive property of Black Hawthorn Ventures LLC and are protected by US and international intellectual property laws. "Black Hawthorn Ventures," "Math Crusher," "Black Hawthorn IT Suite, and "DojoBase" are trademarks of Black Hawthorn Ventures LLC.


Unauthorized use is prohibited.


  1. . GOVERNING LAW AND DISPUTE RESOLUTION


These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any dispute arising from these Terms or your use of our products shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in San Diego, California under the rules of the American Arbitration Association.


You waive any right to a jury trial or to participate in a class action lawsuit related to BHV products or services.


  1. . INDEMNIFICATION


You agree to indemnify, defend, and hold harmless Black Hawthorn Ventures LLC, its members, officers, and agents from any claims, damages, losses, or expenses (including attorney fees) arising from your use of our products, violation of these Terms, or infringement of any third-party rights.


  1. . CHANGES TO THESE TERMS


We reserve the right to update these Terms at any time. Changes will be posted on our website with a new effective date. Continued use of our products after changes constitutes acceptance.


  1. . SEVERABILITY


If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.


  1. . ENTIRE AGREEMENT


These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and BHV regarding our products and services.
